These terms reflect the general structure of how Srch Web Design handles services, billing, hosting, code ownership, and service suspension.

Agreement to Terms

These Terms of Service govern the use of the Srch Web Design website and the purchase or use of services provided by Srch Web Design. By using the website, submitting an inquiry, or engaging Srch Web Design for services, you agree to these terms.

If a separate written agreement is signed for a client project, that agreement will control where it addresses the same subject matter more specifically.

Services Provided

Srch Web Design provides services related to website design, website redesign, website hosting, maintenance, subscription-based website support, and related technical services.

The specific scope of work for a project is determined by the applicable quote, invoice, subscription arrangement, or written agreement between the parties.

Payment Terms

Clients are responsible for paying all agreed fees when due. Recurring services may be billed on a subscription basis, and project-related charges may be billed through Stripe or another approved payment method.

If payment is not made on time, Srch Web Design may pause work, suspend services, or disable hosted website services until the account is brought current. Under the standard business agreement, services may be suspended if payment is overdue by more than seventy-two hours.

Unless otherwise stated in writing, fees already paid are non-refundable.

Hosting Terms

Hosting may be managed by Srch Web Design or, where agreed, by the client. When hosting is managed by Srch Web Design, we make reasonable efforts to maintain uptime, stability, and security, but uninterrupted service is not guaranteed.

Temporary interruptions may occur due to maintenance, provider outages, internet disruptions, security events, technical issues, or other circumstances outside our control.

Maintenance and Support

Standard maintenance covers routine light support associated with the applicable plan. More involved ongoing work, larger content changes, new sections, frequent requests, or broader technical work may require a higher upkeep plan or a separate quote.

Srch Web Design may determine whether a request falls within standard maintenance or requires broader upkeep based on scope and frequency.

Intellectual Property and Code Ownership

Unless otherwise agreed in writing, all source code, design systems, layouts, development structures, software architecture, and related technical materials created by Srch Web Design remain the intellectual property of Srch Web Design.

Clients receive a limited license to use the delivered website and related work product for their business while payments remain current and while the service relationship remains in good standing.

A client may request full ownership of website code or related assets only through a separate written transfer or buyout agreement.

Client Responsibilities

Clients are responsible for the content, images, trademarks, approvals, and materials they provide for use on the website. The client represents that they have the legal right to use the content and materials they supply.

Clients are also responsible for reviewing project materials, communicating approvals, and providing needed business information in a timely manner.

Limitation of Liability

To the fullest extent permitted by law, Srch Web Design is not liable for lost revenue, lost profits, business interruption, indirect damages, consequential damages, or other losses arising from the use of the website or the services provided.

Any liability of Srch Web Design is limited to the amount paid by the client for services during the three months immediately preceding the event giving rise to the claim.

Service Suspension and Termination

Srch Web Design may suspend services for non-payment, serious misuse, or other material breaches of the service relationship. Suspension may include disabling hosting or related website functionality when necessary.

Either party may terminate services with written notice. Upon termination, hosting may be discontinued, outstanding balances remain due, and the client’s license to use the website may end unless a separate ownership transfer has been completed.

Changes to Terms

Srch Web Design may update these Terms of Service from time to time to reflect legal, operational, or business changes. Updated terms become effective when posted on this page unless a different effective date is stated.

Governing Law

These terms are governed by the applicable laws of the United States and, where relevant, the governing state law identified in the controlling client agreement or otherwise applicable to the business relationship.
